Antitrust Compliance
On [[DATE]], the Federal District Court for the Middle District of North Carolina entered a consent order (“Stipulated Order”) prohibiting Corteva, Inc. (“Corteva”) from offering active-ingredient-based loyalty programs where the customer must purchase more than 50% of its overall requirements of certain active ingredients from Corteva to qualify for a payment or other benefit. This prohibition applies to new and existing agreements or loyalty programs offered by Corteva. The Stipulated Order also prohibits Corteva from retaliating against customers who decide to purchase or sell certain active ingredients offered by generic competitors along with (or instead of) Corteva’s products.
The Stipulated Order resolves a December 2022 amended complaint brought by the United States Federal Trade Commission (“Commission”) and the states of California, Colorado, Illinois, Indiana, Iowa, Minnesota, Nebraska, Oregon, Tennessee, Texas, Washington, and Wisconsin, acting by and through their respective Attorneys General (collectively, “Plaintiffs”). The Stipulated Order does not constitute an admission by Corteva that it has violated the law or that any of the facts alleged by Plaintiffs regarding Corteva’s conduct are true.
